Terms of Service for Raptor Investment Analyzer, LLC

These Terms of Service ("Terms") govern your access to and use of Raptor Investment Analyzer, LLC's software tools and related websites, apps, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
1) Eligibility & Accounts
You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service. If you are under 18, you represent that you have parental or guardian consent.
You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized access.
We may require verification (e.g., email or MFA) and may deny, suspend, or reclaim usernames that are inappropriate or infringing.
2) Subscriptions, Trials & Billing
Paid features require a subscription or usage‑based fees. You authorize us and our payment processor to charge your payment method for recurring fees, taxes, and any overages.
Plans, pricing, and features may change; we will provide notice of material changes as required by law or these Terms.
Unless stated otherwise, subscriptions auto‑renew until canceled. You can cancel in your account settings; cancellations take effect at the end of the current billing period.
Refunds are issued only as required by law or our posted refund policy.
Trials and beta access may be limited, change at any time, and may be terminated at our discretion.
3) Use of the Service
Acceptable Use
Comply with all applicable laws and these Terms.
Respect intellectual property and privacy rights of others.
Maintain reasonable security of your systems and credentials.
Prohibited Conduct
No illegal, harmful, fraudulent, or deceptive activity.
No reverse engineering, scraping (except as permitted by robots.txt or API terms), or circumventing security/rate limits.
No introduction of malware, denial‑of‑service, or interference with the Service’s operation.
No use of the Service to create or disseminate content that is unlawful, defamatory, harassing, discriminatory, or infringes rights of others.
We may monitor use for abuse, security, and quality; we may suspend accounts to protect the Service or others.
4) Your Content & Licenses
You retain ownership of your content. You grant Raptor Investment Analyzer, LLC a worldwide, non‑exclusive license to host, process, transmit, and display your content solely to provide and improve the Service and as otherwise permitted by our Privacy Policy.
You represent that you have all necessary rights to submit content and that your content and use of it with the Service do not violate law or third‑party rights.
We may remove content that violates these Terms or the law.
5) Intellectual Property
The Service (including software, UI/UX, designs, and trademarks) is owned by Raptor Cybersecurity, LLC or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Service.
All rights not expressly granted are reserved.
6) Third‑Party Services
The Service may depend on or link to third‑party services (e.g., payment processors, analytics, AI providers). Your use of those services is subject to their terms and privacy policies. We are not responsible for third‑party services.
7) AI/Model Features
If Raptor Cybersecurity Services offers AI features, your prompts, inputs, and outputs may be processed by model providers and sub‑processors for safety, abuse prevention, and to provide the features.
AI outputs can be wrong, incomplete, or inappropriate. You are responsible for evaluating outputs and for any decisions or actions taken based on them.
No Professional Advice: Unless expressly stated in writing, outputs are not medical, legal, financial, or other professional advice. For medical or legal use cases, ensure human review and compliance.
8) Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and process information.
9) Compliance & Sensitive Data
HIPAA/PHI: Unless we have a separately executed Business Associate Agreement (BAA) with you, the Service is not intended to handle Protected Health Information. Do not upload PHI without a signed BAA.
Export Controls: You must comply with applicable export and sanctions laws and may not use the Service in embargoed countries or for prohibited end uses.
Records/Retention: You are responsible for any records‑retention obligations in your industry.
10) Copyright (DMCA)
If you believe content on the Service infringes your copyright, send a notice to legal@raptorcyber.com with: (a) your contact info; (b) identification of the work and allegedly infringing material; (c) a statement of good‑faith belief; (d) a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized agent; and (e) your signature. We may remove or disable content and, where appropriate, terminate repeat infringers.
11) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Raptor Cybersecurity, LLC AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT NOT PROHIBITED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
13) Indemnification
You will defend, indemnify, and hold harmless Raptor Cybersecurity, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your content or your breach of these Terms.
14) Suspension & Termination
We may suspend or terminate your access to the Service at any time with or without cause or notice, including for violations of these Terms, security risks, or non‑payment.
Upon termination, your right to use the Service ceases immediately. Certain provisions survive termination (e.g., IP rights, disclaimers, limitations of liability, indemnities).
15) Changes to the Service/Terms
We may modify the Service and these Terms from time to time. If changes are material, we will provide notice as required by law. Your continued use of the Service after the effective date of changes constitutes acceptance.
16) Governing Law; Dispute Resolution
These Terms are governed by the laws of United States and New Jersey, without regard to conflict of laws rules.
Venue: Exclusive jurisdiction and venue for any disputes not subject to arbitration will be in the state or federal courts located in Camden County, New Jersey.
Arbitration (Optional): At our election or yours, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration before JAMS under its rules. You and we waive the right to a jury trial and to participate in a class action. You may opt out of arbitration by sending a written notice to legal@raptorcybersecurity.com within 30 days of first accepting these Terms.
17) Miscellaneous
Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
Assignment: You may not assign or transfer these Terms without our consent; we may assign these Terms as part of a reorganization, merger, or sale.
Severability: If any provision is unenforceable, the remaining provisions will remain in full force.
No Waiver: Our failure to enforce a provision is not a waiver.
Entire Agreement: These Terms (and any referenced policies) are the entire agreement between you and us regarding the Service.
Notices: We may provide notices via the Service, email, or your account contact info.
